ChordPad Mobile App - Terms & Conditions

These Terms & Conditions ("Terms") govern the use of the ChordPad mobile application (“App”) operated by Cattywampus Designs LLC (“Company,” “we,” “our,” or “us”).
By accessing or using ChordPad, users agree to comply with and be bound by these Terms.

1. Acceptance of Terms
By downloading, accessing, or using ChordPad, users acknowledge that they have read, understood, and agreed to these Terms & Conditions.
If a user does not agree with these Terms, they should discontinue use of the App.
2. Description of Service
ChordPad is a mobile application designed to allow users to create, organize, edit, and export guitar chord diagrams and related musical content.
The App may evolve over time and additional features, premium functionality, and services may be added, modified, or removed without prior notice.
3. User Accounts
Certain features of ChordPad may require users to create an account using an email address and password.
Users are responsible for:
• Maintaining the confidentiality of login credentials
• Restricting unauthorized access to their accounts
• Ensuring account information remains accurate
All activities occurring under their account
The Company reserves the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
Users agree not to use ChordPad to:
• Violate applicable laws or regulations
• Infringe upon copyrights or intellectual property rights
• Upload or distribute unlawful content
• Attempt unauthorized access to systems or accounts
• Introduce malicious software or harmful code
• Harass, abuse, or harm others
• Misuse platform functionality
Engage in fraudulent or deceptive conduct
Users are solely responsible for their conduct while using the App.
5. User-Generated Content
ChordPad allows users to create and export chord diagrams, notes, and related musical
content.
Users retain ownership of the content they create. However, users are solely responsible for:
• The legality of their content
Ensuring compliance with copyright laws
Obtaining any necessary permissions or license
The distribution or sharing of exported materials
The Company does not actively monitor user-generated content and assumes no responsibility for materials created or shared by users
6. Copyright and Intellectual Property Compliance
Users acknowledge that many musical works, arrangements, lyrics, and compositions may be protected by copyright or intellectual property laws.
Users agree not to use ChordPad to knowingly infringe upon:
• Copyrighted song arrangements
• Licensed musical works
• Trademarks
Proprietary content owned by third parties
Users assume full legal responsibility for ensuring that any material created, exported,
distributed, or shared using the App complies with applicable copyright and intellectual
property laws.
Cattywampus Designs LLC shall not be liable for copyright infringement committed by users.
The Company reserves the right to remove content or restrict access where infringement or misuse is suspected.
7. Intellectual Property Ownership
The ChordPad name, branding, graphics, logos, interface design, and software functionality remain the exclusive property of Cattywampus Designs LLC unless otherwise stated.
Users may not:
• Copy the App’s source code
• Reverse engineer the App
• Reproduce branding without permission
• Redistribute proprietary materials
• Use Company intellectual property for unauthorized commercial purposes
8. In-App Purchases and Premium Features
ChordPad may offer optional premium functionality, subscriptions, or additional diagram pads through future in-app purchases.
Purchases are processed through third-party providers such as:
• Google Play• Apple App Store
Users agree that payment processing is governed by the terms and policies of the applicable marketplace provider.
The Company is not responsible for third-party billing issues, refunds, or payment processing errors.
9. Service Availability
The Company does not guarantee uninterrupted or error-free operation of the App.
Features may be modified, suspended, or discontinued at any time without prior notice.
Users acknowledge that occasional interruptions, maintenance periods, or technical issues may occur.
10. Limitation of Liability
To the maximum extent permitted by law, Cattywampus Designs LLC shall not be liable for:
• User-generated content
• Copyright infringement committed by users
• Loss of user-created data
• Service interruptions
• Indirect or consequential damages
• Third-party platform actions
• Unauthorized account access beyond reasonable control
Business losses or lost profits
Use of the App is at the user’s own risk
11. Indemnification
Users agree to indemnify and hold harmless Cattywampus Designs LLC from any claims, damages, liabilities, losses, or expenses arising from:
• User-generated content
• Violations of these Terms
• Copyright infringement claims
• Misuse of the App
• Violations of applicable laws
12. Account Termination
The Company reserves the right to suspend or terminate user accounts at its discretion where:
• These Terms are violated
• Illegal activity is suspected
• Security concerns arise
• Abuse of the platform occurs
Termination may occur without prior notice where necessary to protect the platform or comply with legal obligations.
13. Privacy
Use of ChordPad is also governed by the ChordPad Privacy Policy.
Users are encouraged to review the Privacy Policy to understand how information is collected and used.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws applicable within the State of Ohio, United States, without regard to conflict of law principles.
15. Changes to These Terms
The Company reserves the right to update or modify these Terms at any time.
Updated versions may be posted within the App or associated distribution platforms.
Continued use of the App following updates constitutes acceptance of the revised Terms.

17. Ownership Transfer Clause
Ownership Transfer and Future Service Changes Cattywampus Designs LLC reserves the right to sell, transfer, assign, merge, restructure, or otherwise transfer ownership or operational control of ChordPad and its related assets toanother company, organization, or entity at any time.
In the event of such a transfer, the new owner or operating entity may implement different:
• Subscription models
• Pricing structures
• Service offerings
• Terms & Conditions
• Privacy practices
• Feature availability
Cattywampus Designs LLC does not guarantee that future owners or operators will honor legacy subscriptions, pricing arrangements, promotional access, or previously offered premium benefits unless expressly stated by the new ownership entity.
18. Mediation & Arbitration Clause
Dispute Resolution, Mediation, and Arbitration:
In the event of any dispute, claim, or controversy arising out of or relating to the use of
ChordPad or these Terms & Conditions, the parties agree to first attempt to resolve the matter through good-faith informal discussions.
If a resolution cannot be reached informally, the parties agree to attempt resolution through mediation conducted in a mutually agreed-upon jurisdiction.
If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in
accordance with applicable arbitration rules and procedures.
Users acknowledge and agree that arbitration shall serve as the exclusive method for resolving qualifying disputes to the maximum extent permitted by law.Nothing in this section shall be interpreted as creating or implying liability for user-generated
content, user conduct, copyright infringement committed by users, or third-party misuse of the platform.
